Application Forms & Process:
 
  1. Before actually applying for incorporation, each applicant must have their business name approved for use in this province. (See Business Name: Search and Reservation.)

    Note: Numbered names (eg. 1234567 Nova Scotia Limited) are available without a name search if incorporation is required quickly. The name can be changed later or a business name registration made by the company (Change of Name fees are applicable).

  2. After Name approval, the applicant must then file an application for incorporation of the company. Incorporation forms are difficult to get, except from a lawyer; however, there are some private-sector firms which sell precedent documents (model forms).
If all requirements are met and the application is approved, the incorporation Certificate (which includes the Business Number) will be sent to the applicant by mail.
Waiting Period:
  Approximately 1-2 weeks, provided that all the items that must accompany the application have been received.
Expiry & Renewal:
  The Certificate of Incorporation itself does not expire. Corporate existence is perpetual unless a surrender application is submitted, or strike-off procedure is initiated. However, the related Certificate of Registration (required under the Corporations Registration Act) must be renewed annually. (See Business Registration: Corporations.)

Initial Application: $293.84 plus $103.39 (registration fee)

Annual Renewal: $103.39

Note: Fee must accompany application.

Related Requirements:
  Some or all of the following may be required:
  1. If the business will be retailing taxable goods or services, they will need an HST (Harmonized Sales Tax) Registration with Canada Revenue Agency.

  2. Most businesses operating in Nova Scotia must pay Business Occupancy Tax to the municipality where they are located.

  3. Within one week of opening, a business must notify the Regional Director of Assessment, Service Nova Scotia and Municipal Relations.

  4. If the business hires any employees, it is responsible for deducting and remitting personal income tax, unemployment insurance premiums and Canada Pension Plan deductions to Canada Revenue Agency - Taxation.

When businesses are incorporated in Nova Scotia, they are automatically registered under the Corporations Registration Act (See Business Registration: Corporations).
