Co-operative: Special Resolution Filing (Approval)

Who Needs to File?
Co-operatives when they are borrowing money, changing by-laws, changing their objectives, winding up or selling property, or undertaking anything which is considered out of the ordinary and to which members of the co-operative should have input.

Application Forms & Process:

Special resolutions require a vote by the membership at a meeting conforming with the Co-operative Associations Act and the by-laws of the co-operative. It becomes effective only when approved by the Inspector of Co-operatives.

The Secretary of the co-operative completes the appropriate forms and forwards them to the Co-operatives Branch. Once approved, they are filed with the Nova Scotia Registry of Joint Stock Companies. When completed, the approved documents are returned to the registered office of the co-operative by the Co-operatives Branch.
