Co-operative:  Special Resolution to Change the Name

Application Forms & Process:

Special resolutions require a vote by the membership at a meeting conforming with the Co-operative Associations Act and the by-laws of the co-operative. It becomes effective only when approved by the Inspector of Co-operatives.

Prior to passing a special resolution the proposed name should be reserved by the Registry of Joint Stock Companies. After the name is reserved the members must pass the special resolution to change the name of the co-operative.

The Secretary of the co-operative completes the appropriate forms and forwards them to the Co-operatives Branch. Once approved they are filed with the NS Registry of Joint Stock Companies. When completed the approved documents are returned to the registered office of the co-operative by the Co-operatives Branch.

Waiting Period:
About 2 weeks after submission to receive an approved document and new certificate
 
Price: (No tax is charged)
$54.41 (payable to the Inspector of Co-operatives) plus Related Requirement fee (see below)
 
Related Requirements:
Appropriate fee for the NUANS System name search ($46.36 + hst = $52.39 for an Atlantic Provinces' search or $57.95 + hst = $65.48 for a Canada-wide search)
